Terms of Engagement
Last updated: 26/08/2026. These terms apply to Strategic Reviews and other advisory engagements booked with Titilayo | Strategic Advisory.
1. Who these terms apply to
These terms apply to any client (“you,” “the Client”) who books a Strategic Review or other advisory engagement with Titilayo | Strategic Advisory (“I,” “me,” “the Adviser”), a trading name of Ajido Ltd.
2. Nature of the engagement
I provide strategic business advisory services to healthcare founders, independent pharmacies, private clinics, and — on a selective basis — other business owners. Advisory work involves analysis, options, and recommendations based on the information you provide and my professional judgement.
This is business strategy advice, not regulated advice. Nothing provided as part of a Strategic Review or advisory engagement constitutes legal, financial, tax, medical, clinical, or regulatory advice specific to your circumstances. Where a decision has legal, financial, tax, or regulatory implications, you are responsible for seeking independent, qualified advice before acting.
3. Booking, fees, and payment
Current pricing is published on the Strategic Review page or agreed directly for bespoke engagements. Fees are payable in advance of the engagement unless otherwise agreed in writing. Invoices are due within 7 days of issue unless a different term is agreed.
4. Cancellations and rescheduling
I ask for at least 48 hours notice to reschedule a booked session at no charge. Cancellations made with less notice than this, or non-attendance without notice, may be charged in full at my discretion. I will always try to be reasonable where genuine emergencies arise.
5. Confidentiality
Information you share as part of an engagement is treated as confidential and will not be disclosed to third parties without your consent, except where required by law or regulation. I expect the same discretion in return regarding any proprietary frameworks, tools, or materials shared with you as part of the engagement.
6. Intellectual property
The strategic frameworks, methodologies, diagnostic tools, and written materials I use and provide during an engagement remain my intellectual property. You are free to use any recommendations and the written summary provided to you for your own business, but the underlying methodology, templates, and frameworks may not be copied, resold, or repurposed for use by third parties without my written permission.
7. Limitation of liability
Strategic advice is provided in good faith, based on the information available at the time. I do not guarantee any specific business outcome, financial result, or regulatory approval as a result of following any recommendation. To the maximum extent permitted by law, my liability for any loss arising from an engagement is limited to the fees paid for that specific engagement.
8. Data protection
Any personal data collected as part of an enquiry or engagement is handled in line with my Privacy Policy.
9. Governing law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to these terms
These terms may be updated from time to time. The version in effect at the time you book an engagement will apply to that engagement.
